Appointment of New Board Member

The Board has unanimously approved the appointment of Ms. Annamarie Seabright as the ninth member of the Board. Her extensive experience and strategic insights will be invaluable in shaping the future of Verify Smart Corp. This appointment is effective immediately.

Chief Executive Officer Appointment

We are pleased to announce that Mr. Richard “Ric” J. Halden has been formally ratified as the Chief Executive Officer (CEO) of Verify Smart Corp., effective January 13, 2025. Mr. Halden’s leadership, dedication, and ability to elevate public and investor interest have been instrumental in the company’s progress.

Chief Operations Officer and Executive Vice President of Public Relations and Communications Appointment

The Board has ratified Ms. Annamarie Seabright as the Chief Operations Officer (COO) and Executive Vice President of Public Relations and Communications, effective January 1, 2025. Ms. Seabright’s commitment, operational expertise, and extensive work in maintaining corporate communications have been pivotal to the company’s success.

Chief Investment Officer and Executive Vice President of Investor Relations Appointment

Mr. Donald “Nick” Williams has been approved as the Chief Investment Officer (CIO) and Executive Vice President of Investor Relations, effective February 6, 2025. Chief Financial Officer Appointment
The Board has appointed Mr. Randy Moseley as Chief Financial Officer (CFO), effective February 6, 2025. Mr. Moseley’s financial expertise and knowledge will play a key role in strengthening our fiscal position and advancing our efforts to move off the pink sheets.

Ratification of the Perseverance Capital Partners (PCP) Addendum

The Board has ratified the Addendum to the October 12, 2023, Management and Consultant Agreement between Perseverance Capital Partners (PCP) and Verify Smart Corp., effective January 30, 2025. This Addendum establishes the compensation structure between the companies and solidifies our strategic partnership.

Ratification of Revised Company Bylaws

The Board has approved revisions to the Company Bylaws, effective February 6, 2025. A key amendment includes the reversal of the July 2023 Bylaws amendment, restoring the shareholder voting percentage requirement from 75% back to 50% for a majority vote.

He holds a BS in biology/chemistry, and a Master’s in nuclear sciences and engineering. He has worked at a senior level with the largest engineering companies in the world.
